Ocado Group PLC has announced its total voting rights as of 29 December 2023. The company has 828,597,143 issued ordinary shares of 2 pence each admitted to trading, with each share carrying the right to one vote in all circumstances at general meetings. Notably, the company does not hold any ordinary shares in treasury, resulting in total voting rights of 828,597,143. However, excluding the 10,480,773 ordinary shares held by the Employee Benefit Trust (EBT) Trustee, Ocado has shares in issue with aggregate voting rights of 818,116,370.

The EBT Trustee has waived its right to exercise voting rights and receive dividends for 9,917,035 ordinary shares, although it may vote in respect of 563,738 ordinary shares vested under the joint share ownership scheme.

The total voting rights figure of 828,597,143 may be used by shareholders and others with notification obligations as the denominator for the calculations to determine whether they are required to notify their interest in, or a change to their interest in, Ocado under the FCA's Disclosure Guidance and Transparency Rules.
