Ocado Group PLC has released an update on its total voting rights as of 28 June 2024. The company has 831,078,941 issued ordinary shares of 2 pence each admitted to trading, with each share carrying the right to one vote in all circumstances at general meetings. Notably, the company does not hold any ordinary shares in treasury, resulting in total voting rights of 831,078,941. However, excluding the 10,546,092 ordinary shares held by the EBT Trustee, Ocado has shares in issue with aggregate voting rights of 820,532,849.

The breakdown of the issued ordinary shares includes 3,216,835 shares held by Solium Trustee (UK) Limited, 570,955 shares held by Wealth Nominees Limited, and 9,975,137 shares held by Winterflood Client Nominees Limited on behalf of Ocorian Limited, the independent trustee of Ocado's Employee Benefit Trust. The EBT Trustee has waived its right to exercise voting rights and receive dividends in respect of 9,975,137 ordinary shares, although it may vote in respect of 570,955 ordinary shares which have vested under the joint share ownership scheme and remain in the trust, at the request of a participant.

The total voting rights figure of 831,078,941 may be used by shareholders and others with notification obligations as the denominator for the calculations to determine whether they are required to notify their interest in, or a change to their interest in, Ocado under the FCA's Disclosure Guidance and Transparency Rules.
