Dowlais Group PLC held its 2024 Annual General Meeting at the office of Slaughter and May in London, where all resolutions were passed by way of a poll. The results of the poll for each resolution were detailed in the announcement. The resolutions included approving the company's Annual Report and Accounts, the Directors' Annual Remuneration Report and Policy, declaring a final dividend, and electing new Directors.
The poll results showed overwhelming support for the resolutions, with high percentages of votes in favor. Notably, the approval of the Directors' Remuneration Policy received 99.36% of votes in favor, and the declaration of a final dividend of 2.8 pence per ordinary share for the year ended 31 December 2023 received 100% of votes in favor.
The meeting also saw the election of new Directors, including Liam Butterworth, Roberto Fioroni, Simon Mackenzie Smith, Celia Baxter, Philip Harrison, Shali Vasudeva, and Fiona MacAulay. The re-appointment of Deloitte LLP as Auditors of the Company and other authorizations and approvals were also successfully passed.
The announcement included a note that a vote withheld is not counted in the calculation of the proportion of votes validly cast. The number of ordinary shares in issue was provided, and it was stated that copies of all resolutions passed, other than those concerning ordinary business, would be submitted to the National Storage Mechanism.
