BURBERRY GROUP PLC held its Annual General Meeting at Conrad London St. James, where all resolutions were passed by shareholders. The results of the voting on each resolution were announced, with details provided for each resolution. The Company's Annual Report and Accounts for the year ended 30 March 2024 were received, and the Directors' Remuneration Report for the same period was approved. A final dividend for the year ended 30 March 2024 was declared.

The re-election of Directors was also a key focus. Dr. Gerry Murphy, Orna NíChionna, Fabiola Arredondo, Sam Fischer, Ron Frasch, Danuta Gray, Kate Ferry, and Alessandra Cozzani were re-elected as Directors of the Company. However, Jonathan Akeroyd's re-election was withdrawn on 15 July 2024. Additionally, Debra Lee did not stand for re-election as a Director and stepped down from the Board.

The appointment of Ernst & Young LLP as the auditor of the Company was reconfirmed, and the Audit Committee was authorized to determine the auditor's remuneration. Shareholders also approved the authority for political donations by the Company and its subsidiaries, as well as the authority for the Directors to allot shares.

Furthermore, the shareholders renewed the Directors' authority to disapply pre-emption rights and granted additional authority to disapply pre-emption rights for the purposes of acquisitions or specified capital investments. They also authorized the Company to purchase its own Ordinary Shares and to call general meetings (other than an AGM) on not less than 14 clear days' notice.

The voting results were detailed, including the number of votes for and against each resolution, the total votes validly cast, the percentage of votes cast as a proportion of the issued share capital, and the votes withheld. The Company's website was provided for access to the full text of each resolution.

In accordance with Listing Rule 9.6.2, copies of all the resolutions passed, other than those concerning ordinary business, have been submitted to the National Storage Mechanism for inspection.

As a result of the AGM, the Board underwent a change, with Debra Lee not standing for re-election as a Director and stepping down from the Company's Board.
