Vesting of Restricted Stock Units, PDMR Dealing and Total Voting Rights

The Company announces that, on 28 March 2023, 3,004,211 common shares of $0.0001 each in the Company ("Common Shares") which were held in treasury have been utilised to satisfy vested restricted stock units ("RSUs") over the Common Shares awarded to certain employees, including the PDMRs listed in the table below. This vesting triggered immediate tax liabilities that were satisfied by partial sales of Common Shares on 28 March 2023.

Jon Prideaux, CEO, vested 451,142 RSUs and, on 28 March 2023, sold 216,191 of the resultant Common Shares at a price of 136.5 pence per share to meet the tax liabilities from the vesting and dealing expenses. As a result of these transactions, Mr. Prideaux's holding in the Company increased by 234,951 Common Shares to 3,343,103 Common Shares, representing 1.12% of the issued share capital of Company.

Keith Butcher, CFO, vested 346,046 RSUs and, on 28 March 2023, sold 192,092 of the resultant Common Shares at a price of 136.5 pence per Common Share to meet the tax liabilities from the vesting, dealing expenses and for personal reasons. As a result of these transactions, Mr. Butcher's holding in the Company increased by 153,954 Common Shares to 732,860 Common Shares, representing 0.24% of the issued share capital of the Company.

Charlotta Ginman, Non-Executive Director, vested 103,276 RSUs and, on 28 March 2023, sold 48,734 Common Shares at a price of 136.5 pence per share to meet the tax liabilities from the vesting and dealing expenses. As a result of these transactions, Mrs. Ginman's holding in the Company increased by 54,542 Common Shares to 67,257 Common Shares, representing 0.02% of the issued share capital of Company.

Stewart Roberts, Non-Executive Director, vested 103,276 RSUs and, on 28 March 2023, sold 23,276 Common Shares at a price of 136.5 pence per share to meet part of the tax liabilities from the vesting and dealing expenses. As a result of these transactions, Mr. Roberts has a beneficial holding of 80,000 Common Shares, representing 0.03% of the issued share capital of Company.

Mark Stannard, PDMR, vested 310,882 RSUs and, on 28 March 2023, sold 146,699 Common Shares at a price of 136.5 pence per share to meet the tax liabilities from the vesting and dealing expenses. As a result of these transactions, Mr. Stannard's holding in the Company increased by 164,183 Common Shares to 370,409 Common Shares, representing 0.12% of the issued share capital of Company.

Adam Lee, PDMR, vested 250,000 RSUs and, on 28 March 2023, sold 86,775 Common Shares at a price of 136.5 pence per share to meet the tax liabilities from the vesting and dealing expenses. As a result of these transactions, Mr. Lee's holding in the Company increased by 163,225 Common Shares to 1,548,703 Common Shares, representing 0.52 % of the issued share capital of Company.

Christopher Newton-Smith, PDMR, vested 250,000 RSUs and, on 28 March 2023, sold 250,000 Common Shares at a price of 136.5 pence per share to meet the tax liabilities from the vesting, dealing expenses and for personal reasons.
