The above numbers exclude the sale of Duck Creek Technologies, an Apax VIII portfolio company, which was announced by AGA on 13 January 2023. The transaction values AGA's current look-through investment in Duck Creek at approximately €32m. This represents an uplift of 46% of to last Unaffected Valuations5 and an uplift of c.€10m (c.€0.02 per share) in the Adjusted Net Asset Value ("Adjusted NAV") of AGA at 30 September 2022, prior to any closing adjustments, fees, costs and carried interest.
AGA Credit Facility update
AGA also announces an update on its €250 million multi-currency revolving credit facility (the "Facility").
AGA has had a revolving credit facility with Credit Suisse AG, London Branch since November 2018 which featured an evergreen term, with a rolling minimum notice period of two years. Following the formal receipt of notice, the Facility has reverted to a conventional fixed-term arrangement with an expiry date of 10 January 2025.
The Board and Investment Manager are confident that AGA's prudent approach to balance sheet management provides comfort over the existing and planned commitments. The Facility was undrawn at 31 December 2022 and currently remains undrawn. The Company's Derived Investments portfolio of €390.4 million (as at 30 September 2022) provides additional capital resources and flexibility.
Commenting on the performance, Ralf Gruss, COO of Apax, said:
"Performance in Private Equity was resilient overall in the face of challenging and volatile markets, especially for the larger funds to which AGA is exposed. In 2022, the Apax Funds continued to achieve attractive uplifts to prior valuations on exits. We continue to believe the Apax Funds' strategy of diversification, investing in businesses with strong economic motors, and focusing on generating 'alpha' through business transformation, is well suited to the current macro environment."

5
Unaffected Valuation is determined as the fair value in the last quarter before exit, when valuation is not affected by the exit process (i.e. because an exit was signed, or an exit was sufficiently close to being signed that the Apax Funds incorporated the expected exit multiple into the quarter end valuation)
