Accrol Group Holdings PLC has announced the court sanction of a scheme of arrangement under Part 26 of the Companies Act 2006, as well as the exercise of options and admission to trading on AIM. The scheme, which was approved by the High Court of Justice in England and Wales, is expected to become effective on 24 May 2024. Additionally, the company has allotted and issued Accrol Shares to participants in the Accrol Group Holdings Long-Term Incentive Plan 2021. These shares are expected to be admitted to trading on AIM at 8.00 a.m. on 23 May 2024.

The last day of dealings in Accrol Shares, including the Accrol Share Award Shares, will be 23 May 2024, and the Scheme Record Time will be 6.00 p.m. on the same day. Dealings in Accrol Shares on AIM will be suspended from 7.30 a.m. on 24 May 2024, and the cancellation of admission to trading of Accrol Shares on AIM is expected to take effect from 8.00 a.m. on 28 May 2024, subject to the scheme becoming effective on 24 May 2024.

The scheme, as modified, was approved by the requisite majorities of Scheme Shareholders at the Court Meeting and the Resolution in connection with the implementation of the Scheme was passed by the requisite majority of Accrol Shareholders at the General Meeting. The company has confirmed that there has been no change to the expected timetable of principal events for the Increased and Final Offer set out in the announcement made on 15 May 2024.
